ZMS Terms of Service

THE AGREEMENT

These terms govern your use of our website and every project we produce for you. By using the site, submitting a brief or paying a deposit, you agree to them.

Zyntro Media Services ("ZMS", "we", "us") is a division of Zyntro, Inc., a Delaware C-corporation, and operates the website at zyntromedia.com. "You" means the person or business using our site or commissioning work. If you accept on behalf of a business, you confirm you're authorised to bind it.

If a signed proposal, quote or statement of work conflicts with these terms, the signed document wins for that project.

Using our website

All content on the site, including showreels, samples and copy, belongs to ZMS or its licensors. You may view and share links to it, but you may not copy, download, scrape, reuse or use it to train AI models without our written permission. Don't misuse the site, interfere with its operation, or submit false or harmful information through our forms.

OUR SERVICES

ZMS produces AI-assisted media, including cinematic reels, product demos, avatar videos, UGC-style ads, explainers, animated stills and product stills.

Quotes and briefs

Every project starts with a brief and a written quote setting out the deliverables, price, deposit and timeline. Quotes are valid for 30 days. Work begins once you've accepted the quote and we've received the deposit. Timelines depend on you sending complete materials and timely feedback; delays on your side move the delivery date.

How AI-generated work behaves

We use generative AI models to create much of what we deliver. By commissioning us, you understand that:

Samples and spec work

Some portfolio pieces feature invented brands created by ZMS to show what we can do. They aren't real clients or endorsements.

There are no refunds.

Revisions

We'll fix anything that doesn't match the approved brief or contains errors on our side, at no cost.

Every other change request costs 30% of the project price, per request. A change request is anything that departs from the approved brief, script or blueprint, or changes something you've already approved, such as a new script line, a different scene, style or voice. We'll confirm the cost before starting any paid change.

YOUR MATERIALS AND RESPONSIBILITIES

You keep ownership of everything you send us. You give ZMS a licence to use it only to produce, revise and deliver your project, including uploading it to the AI tools we use.

OWNERSHIP AND PORTFOLIO USE

What you own

Once you've paid in full, we transfer to you all rights we hold in the final deliverables, and you can use them commercially, worldwide, with no time limit. Until then, everything we produce stays ours.

We keep ownership of our own tools and know-how: prompts, workflows, templates, style references, code, unused drafts and alternate takes. Licensed elements, such as stock music or fonts, stay under their own licence terms, which we'll pass on to you.

AI and copyright

Copyright law in the US and many other countries may not protect material generated by AI without enough human authorship. We transfer whatever rights exist, but we can't guarantee that every deliverable is protected by copyright, or that no one else can create something similar.

Our portfolio

We may show selected final deliverables in our portfolio, showreels, website and social channels, credited as ZMS work. We never show your raw materials, briefs or unreleased work, and we won't publish anything before you've released it publicly.

If your project needs to stay confidential, tell us in writing before we start and we'll keep it out of our portfolio.

CONFIDENTIALITY AND LIABILITY

Confidentiality

We'll keep your briefs, materials, business information and unreleased work confidential, and use them only for your project. This doesn't cover information that's already public or that we're legally required to disclose. Our privacy policy explains how we handle personal information.

Disclaimers

We'll deliver our services with reasonable skill and care. Beyond that, the website and services are provided "as is". We don't guarantee any business result, such as views, engagement, sales, ad approval or platform performance, and we're not responsible for outages or changes in the third-party tools we rely on.

Limits on our liability

To the fullest extent the law allows:

These limits don't apply where the law doesn't allow them, such as for fraud or wilful misconduct.

Indemnity

You'll cover ZMS against claims, losses and costs (including reasonable legal fees) arising from the materials you provide, your breach of these terms, or how you publish and use the deliverables.

ENDING A PROJECT, LAW AND CONTACT

Ending a project

Either side can end a project in writing if the other seriously breaches these terms and doesn't fix it within 14 days. If a project ends, you pay for work done up to that point, under the refund rules above. Sections on ownership, confidentiality, liability and indemnity continue after a project ends.

Governing law and disputes

These terms are governed by the laws of the State of Delaware, USA. We'll first try to resolve any dispute through good-faith discussion. If that fails within 30 days, disputes go to the state or federal courts located in Delaware, and both sides agree to their jurisdiction.
